Terms of Service

1. Acceptance of Terms

By accessing or using CounselMe and the SENTINEL service (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Description of Service

CounselMe provides SENTINEL, an automated IOLTA trust account reconciliation and audit-readiness platform for licensed attorneys. The Service processes bank statements and practice management data to identify discrepancies, generate findings, and produce audit-ready reports.

3. Eligibility

The Service is intended for use by licensed attorneys and authorized staff of law firms. By creating an account, you represent that you are authorized to access and manage the trust account data you upload.

4. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • You must provide accurate and complete information when creating your account.

5. Data Ownership

You retain full ownership of all data you upload to the Service, including bank statements, ledger exports, and any other financial records. CounselMe does not claim ownership of your data. We process your data solely to provide the Service as described in these Terms and our Privacy Policy.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload data that you are not authorized to access or process
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Resell or redistribute the Service without written authorization

7. Professional Responsibility Disclaimer

SENTINEL is a compliance assistance tool. It does not provide legal advice. The findings and reports generated by the Service are informational aids to support your professional judgment. You remain solely responsible for your trust account compliance obligations under applicable rules of professional conduct and state bar regulations.

8. Subscription and Payment

Access to SENTINEL requires a paid subscription. Subscription fees are billed monthly or annually as selected at the time of purchase. All fees are non-refundable except as required by applicable law. CounselMe reserves the right to modify pricing with 30 days’ written notice.

9. Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. Support is available via email during business hours.

10. Limitation of Liability

To the maximum extent permitted by law, CounselMe shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CounselMe, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings. CounselMe may suspend or terminate your access for violation of these Terms with reasonable notice. Upon termination, your data will be retained for 30 days to allow export, after which it will be permanently deleted.

13. Governing Law

These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service. Continued use after changes are posted constitutes acceptance of the revised Terms.
